Event Overview

Jones Day and DHG Healthcare invite you to attend this three-part collaborative webinar series:

Part Three- Mergers, Acquisitions, Corporate Structure Considerations and Other Transactions

TThe Tax Cuts and Jobs Act made sweeping changes to the tax treatment of corporations and pass-through entities. These changes, combined with changes to the IRS’ partnership audit process and how tax deficiencies are assessed, should prompt tax-exempt hospitals and health systems to reevaluate their corporate structures and to consider new approaches to structuring their mergers, acquisitions, support services and other transactions.

This webinar will review key changes and open questions under the new tax law that have implications for healthcare transactions, system structure and operations.

Education Topics:

  • Changes to corporate tax rates and NOLs & impact on corporate structures
  • Impact on choice of entity arising out of scope of excise taxes on top five highest paid employees
  • Financial Assistance Policy considerations due to repeal of individual mandate penalty
  • Qualified business income deduction for owners of certain flow through entities
  • Changes to deduction of settlement payments under False Claims Act
